1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Talwen", "we", "us", "our" — Talwen, a company registered and operating in Malaysia, with its principal address at 28 Jalan Ampang, 50450 Kuala Lumpur.
- "Client", "you", "your" — the individual or organisation accessing this website or entering into an engagement with Talwen.
- "Services" — the AI consultancy services described on this website, including AI-Driven Process Mining, Multimodal Search Platform development, and AI Alignment Workshops.
- "Engagement" — a specific, scoped service agreement between Talwen and a Client.
- "Website" — the website accessible at talwenhfr.website.
- "Agreement" — these Terms and Conditions together with any applicable Engagement scope documentation.
2. Acceptance of Terms
By accessing this Website or engaging Talwen for services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should not use this Website or engage our services.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
3. Service Description
Talwen provides applied AI consultancy services to Malaysian enterprises and organisations. The three core services are:
- AI-Driven Process Mining — analysis of enterprise event logs to discover, visualise, and improve actual business processes. Duration: 8 weeks. Price: RM 3,300 (ex. SST).
- Multimodal Search Platform — development of search systems capable of retrieving across text, image, audio, and structured data types. Duration: 10 weeks. Price: RM 4,100 (ex. SST).
- AI Alignment Workshop — a facilitated half-day session to align technical and business teams on AI project objectives and approach. Price: RM 500 (ex. SST).
Service availability is subject to Talwen's capacity at the time of enquiry. Talwen reserves the right to decline engagements at its discretion.
4. Engagement Process
An Engagement begins only when both parties have agreed to a written scope document. The scope document will set out the deliverables, timeline, acceptance criteria, and payment terms. Verbal agreements or website enquiries do not constitute a binding commitment from either party.
Talwen operates on a fixed-scope, fixed-price basis. The price stated in the scope document is the total price for the described deliverables. Changes to scope must be agreed in writing and may affect pricing and timelines.
5. Client Responsibilities
When engaging Talwen's services, you agree to:
- Provide timely access to the data, systems, and personnel required for the engagement
- Ensure that you have the legal right to share any data provided to Talwen
- Designate a point of contact to facilitate communication and decision-making
- Review and respond to deliverables and documentation within agreed timeframes
- Not use any deliverables for unlawful purposes or in ways that infringe third-party rights
Delays caused by a Client's failure to meet these responsibilities may affect delivery timelines without affecting Talwen's right to payment.
6. Acceptable Website Use
You may use this Website for lawful purposes only. You agree not to:
- Attempt to gain unauthorised access to any part of the Website or its infrastructure
- Use automated tools to scrape, crawl, or harvest content from the Website
- Transmit malicious code or interfere with the Website's operation
- Misrepresent your identity when submitting enquiries
7. Intellectual Property
All content on this Website — including text, design, and structure — is the intellectual property of Talwen and is protected under applicable Malaysian and international law. You may not reproduce, distribute, or create derivative works without prior written consent.
Upon full payment for an Engagement, Talwen grants the Client a non-exclusive, non-transferable licence to use the specific deliverables described in the scope document for the Client's internal business purposes. Talwen retains ownership of any proprietary methods, frameworks, or pre-existing tools used during an engagement.
8. Payment Terms
Payment terms for each Engagement will be set out in the scope document. Unless otherwise agreed:
- A deposit of 50% of the total Engagement fee is due before work commences
- The remaining 50% is due upon delivery of final deliverables
- All prices are in Malaysian Ringgit (RM) and are exclusive of applicable SST
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 1.5% per month on the outstanding balance
9. Cancellation and Refunds
If you wish to cancel an Engagement after a scope document has been signed:
- Cancellation before work commences: the deposit will be refunded less an administrative fee of RM 200
- Cancellation after work has commenced: you will be invoiced for work completed to date at a pro-rata rate; the deposit will be applied against this amount
- Cancellation of an AI Alignment Workshop with less than 5 business days' notice: no refund will be issued

10. Disclaimers
This Website and all information on it are provided on an "as is" basis. Talwen makes no representations about the accuracy or completeness of the content and does not warrant that the Website will be continuously available or free from errors.
AI-based analysis and recommendations are based on available data and reasonable professional judgement. They are not a substitute for legal, financial, or regulatory advice. Outcomes described in case studies represent specific client experiences and are not indicative of results for any particular engagement.
11. Limitation of Liability
To the fullest extent permitted by Malaysian law, Talwen's total liability to you in connection with any Engagement or use of this Website shall not exceed the total fees paid by you for the relevant Engagement in the 12 months preceding the claim.
Talwen shall not be liable for any indirect, consequential, or special losses, including loss of profit, loss of business opportunity, or loss of data, even if advised of the possibility of such losses.
12. Indemnification
You agree to indemnify and hold Talwen harmless from any claims, losses, or damages arising from your breach of these Terms, your misuse of this Website, or your infringement of any third-party rights in connection with data or materials you provide to Talwen.
13. Confidentiality
Both parties may share confidential information during an Engagement. Each party agrees to keep the other's confidential information secure and not disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the Engagement.
14. Termination
Either party may terminate an Engagement if the other party materially breaches the scope document and fails to remedy the breach within 14 days of written notice. Upon termination, you will pay for all work completed to the date of termination. Sections relating to intellectual property, liability, and confidentiality survive termination.
15. Dispute Resolution
If a dispute arises, the parties will first attempt to resolve it through good-faith negotiation within 30 days of written notice of the dispute. If the dispute is not resolved by negotiation, either party may refer it to mediation through the Malaysian Mediation Centre before pursuing litigation.
These Terms are governed by the laws of Malaysia. Both parties submit to the non-exclusive jurisdiction of the Malaysian courts.
16. General Provisions
- Entire Agreement: These Terms, together with any applicable scope document, constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without Talwen's prior written consent.
- Force Majeure: Neither party is liable for delays caused by events outside reasonable control, including natural disasters, government action, or major infrastructure outages.
17. Changes to These Terms
We may update these Terms from time to time. Changes will be reflected in the "Last Updated" date at the top of this page. Continued use of the Website after changes are posted constitutes acceptance. For active Engagements, the Terms in force at the time the scope document was signed apply.
